These Terms of Use govern your access to and use of the Fora platform, the Logiciel, Inc. website, and related applications and services (collectively, the “Services”). Please read them carefully.
1. Acceptance of these terms
By accessing or using the Services, you agree to be bound by these Terms of Use and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these terms. If you do not agree, do not use the Services.
2. The service
Logiciel, Inc. (“Logiciel,” “we,” “us”) provides Fora, a cloud-based mobile commerce platform that includes mobile order-writing applications, a marketplace and storefront, a management portal, payment facilitation, and integrations with third-party systems. We may add, modify, or discontinue features from time to time.
3. Accounts and responsibilities
- You are responsible for the accuracy of information you provide and for all activity under your account.
- You must keep login credentials confidential and notify us promptly of any unauthorized use.
- You are responsible for configuring user access and permissions for your team.
4. Fees and billing
Use of the paid Services is subject to the pricing presented at sign-up, including transaction-based fees and any applicable monthly minimums or maximums. Unless stated otherwise, fees are billed in arrears and are non-refundable except as required by law. Payment processing fees charged by third-party processors are separate from Logiciel platform fees.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose.
- Interfere with or disrupt the integrity or performance of the Services.
- Attempt to gain unauthorized access to the Services or related systems.
- Reverse engineer or copy any part of the Services except as permitted by law.
6. Your data
You retain ownership of the data you submit to the Services (“Customer Data”). You grant Logiciel a limited license to host, process, and transmit Customer Data solely to provide and improve the Services. Our handling of personal information is described in our Privacy Policy.
7. Intellectual property
The Services, including all software, designs, and trademarks (such as “Fora” and “Logiciel”), are owned by Logiciel or its licensors and are protected by applicable laws. These terms do not grant you any rights to our intellectual property except the limited right to use the Services as described.
8. Third-party services
The Services integrate with third-party products such as QuickBooks, Shopify, and others. Your use of those products is governed by their own terms, and we are not responsible for third-party services.
9. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Logiciel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Services will not exceed the amounts you paid us in the twelve months preceding the claim.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these terms or if necessary to protect the Services. Upon termination, your right to use the Services ends; we will make Customer Data available for export for a reasonable period as described in our policies.
12. Changes to these terms
We may update these Terms of Use from time to time. When we do, we will revise the “last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated terms.
